AGS LLC GRAPHICS AND PAR SHEET LICENSE- TERMS AND CONDITIONS
(“License Contract”)

  1. By clicking the accept button You accept the terms and conditions of this License Contract and have created a contract between You and AGS LLC (“AGS”), a Delaware limited liability company.
  2. You represent and warrant that You are an employee of a current customer of AGS.
  3. Upon approval of AGS, You will receive a logon and password (“Credentials”) to access restricted parts of playags.com which contain AGS’ artwork (“Graphics”) and AGS’ Par Sheets (“Par Info”).
  4. You may not share the Credentials with anybody besides You.
  5. You understand that the Credentials, the Graphics and the Par Info may only be used by You while You are employed by a current customer of AGS. The Graphics and Par Info may be shared by You with the gaming regulator(s) in Your employer’s jurisdiction.
  6. The submission of any of Your personal information related to this License Contract is subject to AGS’ Privacy Policy located at: http://www.playags.com/wp-content/uploads/2015/05/AGS_Website_Privacy_Policy.pdf
  7. This contract supersedes the terms of the Terms of Use located at: http://www.playags.com/wp-content/uploads/2015/05/AGS_Website_Terms_of_Use.pdf. However, any terms and/or conditions not specifically addressed in this License Contract are contained in the Terms of Use: http://www.playags.com/wp-content/uploads/2015/05/AGS_Website_Terms_of_Use.pdf
  8. AGS may terminate this License Contract and/or Your Credentials at any time with or without notice.
  9. The following are the requirements for using the Graphics (“Technical Requirements”):
    1. The logos must be presented in full color;
    2. Logos must be a minimum of .375 inches on their shortest edge;
    3. Graphics and its logos may never be: distorted, manipulated, and/or altered in any way;
    4. Any background images applied to the Graphics must not distort the readability of Graphics; and
    5. For maximum readability and visual impact, the logos must be surrounded by a clear zone of equal to or greater than ¼ of the logo’s shortest edge.
  10. You and Your employer, while Your employer is a customer of AGS, only in the country where Your employer is located, have a limited, non-transferable, non-assignable, non-exclusive license to use the Graphics as follows in accordance with the Technical Requirements only as follows:
    1. To reproduce copies of the Graphics as necessary to promote or use AGS’ products for which Your employer has leased and/or purchased from AGS; and
    2. To display publicly the Graphics as necessary to promote or use AGS’ products for which Your employer has leased and/or purchased from AGS.
  11. The Graphics may not be used in any manner that, in the sole discretion of AGS, discredits AGS or tarnishes its reputation and goodwill; is false or misleading; violates the rights of others; violates any law, regulation or other public policy; or mischaracterizes the relationship between AGS and You and/or Your employer.
  12. Upon AGS’ request, You must provide AGS with samples of the use of the Graphics by You and/or Your employer to determine that the use of the Graphics meets the Technical Requirements.
  13. You and Your employer, while Your employer is a customer of AGS and while the game that is the subject of the Par Info is still be offered for play by your Employer, only in the country where Your employer is located, have a limited, non-transferable, non-assignable, non-exclusive license to use the Par Info confidentially only by Your employer’s employees. The Par Info may not be shared with any person outside of Your employer.
  14. As to any felt layouts, You and Your employer are responsible to make sure that all of the information printed on the felt layout meets all applicable gaming laws and regulations.
  15. All uses by You and/or Your employer of the trademarks of AGS and other intellectual property associated with the Graphics inure to the benefit of AGS.
  16. AGS may freely assign this non-exclusive license or otherwise transfer any of AGS’ obligations under this non-exclusive license in AGS’ sole discretion and without notice to You.
  17. This non-exclusive license is governed by the laws of the State of Nevada, USA. You and AGS submit to the exclusive jurisdiction of the federal and state courts located in Clark County, Nevada, USA in any legal suit, action or proceeding arising out of or related to this License Contract. This Section 17 shall survive the termination of the License Contract for two years.
